Sui Hackathon Terms and Conditions
The Sui Overflow Hackathon (the “Hackathon”) organized and sponsored by the Sui Foundation (the “Organizer”) is a community driven hackathon intended for collaboration and learning in the Sui ecosystem. The overarching goal of the Hackathon is to foster developer engagement with the Sui blockchain network (the “Network”) resulting in the deployment and launch of high quality and durable projects on the Network (each, a “Project”) and the secondary goal is to foster the growth of the Network’s global developer community while embodying the Sui Foundation’s values of openness, fairness and competition through tangible action and a demo day contest that involves participants from the entire ecosystem.
By applying to or participating in the Hackathon, you agree to the following Hackathon Terms and Conditions (these “Terms”), the Event Participation Terms and Conditions [LINK], Sui Foundation Terms of Service [LINK], and Privacy Policy [LINK] (collectively, the “Event Terms”) as they all apply to your participation as a host, speaker, guest, sponsor or other type of participant at the Hackathon. Capitalized terms used herein shall have the meanings ascribed to them in the Event Participation Terms and Conditions unless otherwise defined herein.

- Hackathon Eligibility
- You must apply to participate in the Hackathon. Please visit [LINK] to submit an application (“Application”) on behalf of your Project team (“Team”). Your Application must contain:
- Project name and logo
- Project description
- If your Project is an existing project on the Network, please briefly describe the new feature or redesign that will be completed during the Hackathon.
- Project website
- Primary contact
- GitHub repo on which your Project is published
- App store link for your Project (if applicable)
- Please note the following additional eligibility requirements for your Project and Team:
- Your Project must be deployed on the Network’s mainnet, testnet or devnet, or otherwise integrated with the Network.
- Your Project must be either a new project on the Network, or an established project that is implementing a well-defined new feature or redesign within the Hackathon Duration.
- Your Team must be able to participate in the Hackathon online during the corresponding online session.
- Each member of your Team must pass a KYC verification conducted by the Organizers or one of their service providers.
- Please note the following rules related to incorporating pre-existing work into your Project:
- We only allow Teams to submit pre-existing code or projects that were started as of the date and time that is [Feb 10th 2025], approximately two (2) months prior to the start of the Hackathon (the “Hackathon Effective Date”) as determined by the Organizer (and such work, “Pre-existing Code”). You may use any Pre-existing Code in your Project only after you have notified the Organizer in writing about the nature of such Pre-existing Code and have received the Organizer’s written approval therefor.
- You may not work on your Project before the Hackathon Effective Date. This includes coding, designing assets, etc. Each submitted Project (“Submission”) will be judged solely on the quality of the work completed during the duration of the Hackathon and/or completed after the Hackathon Effective Date.
- If there is a situation where a Team is porting or continuing an existing Project developed prior to the Hackathon Effective Date, the Team must obtain explicit permission from the Organizer in writing before continuing to work on or submitting the Project for eligibility. Otherwise, by using any pre-existing work developed before the Hackathon Effective Date, you forfeit the right to be considered as a participant for the Hackathon.
- In order to ensure that no unauthorized pre-existing work makes its way into a Submission, each Team must also use version control for its code throughout the Hackathon Duration. Any code repositories with single commits of large files without proper documented history will by default be assumed to be disqualified unless proven otherwise to the satisfaction of the Organizer in its sole discretion.
- Further, you must disclose all relevant information in your submission video, Project description, and during judging clarifying what specifically was done before the Hackathon. You represent and warrant that all information relating to Pre-existing Code that you provide in your Application and during the Hackathon is accurate, complete and does not contain any misrepresentations or omissions.
- If, upon inspection (during or after the Hackathon), you present work that appears to have been completed before the Hackathon Effective Date, or does not accurately reflect your Project description/video, or extends unauthorized pre-existing work that was not disclosed, in each case, in the sole discretion of the Organizer, your Project is subject to immediate disqualification with full revocation of any prize amounts along with a permanent ban from other Organizer community events.
- Demos; Judgment of Submissions; Selection of the Winners; Prizes
- Each Team may enter their Submission in one of the following vertical tracks and one of the following Sui technology tracks (each, a “Track”):
- Vertical Track
- Infrastructure & Tools
- Gaming
- DeFi
- Mobile & Consumer
- Sui Technology Track
- zkLogin
- SuiFrens
- Advanced Move Features
- Randomness
- All Submissions will be judged by a panel of nine (9) judges (the “Panel”) according to the rubric (“Rubric”) made available by the Organizer at [https://suifoundation.notion.site/Sui-Hackathon-General-Rubric-a11a73996e8c427982470107a48355d8 (the “Rubric Site”). You understand and acknowledge that the Organizer may update the Rubric at any time in its sole discretion before the Hackathon Effective Date. Please check the Rubric Site for the last updated Rubric.
- Each Team will be assigned to a demo session (“Session”). Each Team will be given five (5) minutes to present their Submission to the Panel during their assigned Session. If the Panel or audience has questions regarding a Team’s Submission, an additional two (2) minutes of time will be allotted to Q&A. Time limits will be strictly enforced by the Organizer. Teams who are not present when called to present during their assigned Session will be immediately passed. Teams who were passed previously will be called again at the end of the respective Session. Teams who fail to be present when called a second time will be withdrawn from the Hackathon.
- A prize (the “Prize”) will be awarded to Hackathon Team winners (each a “Prize Recipient”). Prizes will be denominated in Sui USDC and will be deposited into a Prize Recipient -owned wallet that is capable of accepting Sui USDC (“Recipient Wallet”); provided that the Prize Recipient must provide to the Organizer its unique Recipient Wallet address information within 14 days of an official announcement, for the avoidance of doubt Organizer shall determine if an announcement is an official announcement at its own discretion. Additionally, Prize Recipient must confirm via a de minimis test transaction, that the Recipient Wallet is compatible with Sui USDC. Prize Recipient accepts all risk of loss with respect to any transfer of Sui USDC to an incompatible wallet or an incorrect wallet address provided by Prize Recipient. Track specific Prizes will be awarded to the four (4) Teams in each Track whose Submission earns the highest total overall score as determined by the Panel. The decision of the Panel will be final. If any ties must be broken to determine the winner, the Panel will choose the tied Submission that scores the highest in the “ Evaluation” category as set forth on the Rubric. The Track-specific prizes are as follows:
- Track 1st Place: 30,000 USDC in Tokens(or in SUI tokens)
- Track 2nd Place: 15,000 USDC in Tokens(or in SUI tokens)
- Track 3rd Place: 10,000 USDC in Tokens(or in SUI tokens)
- Track 4th Place: 7,500 USDC in Tokens(or in SUI tokens)
- In addition to the Track-specific prizes, ten (10) Teams will win each of the following prizes:
- University Award: [2,500] SUI USDC in Tokens
- Eligibility Requirements: More than fifty percent of Team members must currently be enrolled at a university.
- Selection: Ten (10) eligible Teams whose Submission earns the highest total overall score as determined by the Panel.
- Community Favorite Award: [2,500] SUI USDC
- Eligibility Requirements: All Submissions are eligible.
- Selection: Ten (10) eligible Teams whose Submission earns the highest total overall score as determined by attendees of the Hackathon.
- The winning Teams will be notified by email on or around one week following the Hackathon Effective Date. In order to receive the prize, one member of the winning Team must confirm acceptance of the prize via email. If a selected winning Team cannot be contacted, is ineligible, fails to claim a prize, or fails to pass any required KYC or background check, the prize may be forfeited and an alternate winner may be selected from the remaining eligible Submissions as determined in the sole discretion of the Panel.
- Personal Information
- By registering and participating in the Hackathon, you agree that we may use any personal information you provide to us to send you newsletters, marketing or promotional materials and other information that may be of interest to you. You may opt out of receiving any, or all, of these communications from us by following the unsubscribe link or the instructions provided in any email we send. Please refer to our Privacy Policy for information about how we collect, use and share your personal information.
- Advertising.
- We may advertise, offer, and make available information, products or services provided by third parties. WE DO NOT (a) WARRANT, ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY PRODUCT OR SERVICE ADVERTISED OR OFFERED BY A THIRD PARTY AT OR THROUGH AN EVENT OR (b) MONITOR ANY TRANSACTION OR INTERACTION BETWEEN YOU AND ANY THIRD PARTY PROVIDERS OF PRODUCTS OR SERVICES AT AN EVENT.
- Hackathon Materials
- Under no circumstances will we be liable in any way for any content or materials of any third parties make available throughout the Hackathon (including without limitation, sponsors, speakers, founders, investors or other participants). The availability of such material does not constitute our endorsement of that content in any material. You acknowledge that we do not pre-screen content; provided, however, that we and our designees will have the right (but not the obligation) to refuse or remove any content that we, in our sole discretion, deem objectionable. We also make no representation that the information or opinions discussed during the Hackathon or in any materials made available throughout the Hackathon are accurate, reliable or complete.
- Nothing at the Hackathon or in the related materials is intended to be construed as investment, financial, tax, legal, accounting or any other type of professional advice or the provision of such professional advice. DO NOT RELY ON ANY OF IT FOR ADVICE, including without limitation what the speakers or sponsors say.
- The Hackathon and any materials available at the Hackathon is provided “as-is” and “as available”, and the accuracy of any materials available at the Hackathon is neither warranted nor guaranteed and you participate in the Hackathon at your own risk.
- Except as otherwise explicitly provided by Organizer, you agree we are not and will not be responsible for the awarding, settlement or delivery of any prizes that are advertised or offered during or in connection with the Hackathon and you agree that we will have no liability in connection with the prizes, including without limitation my use of the prizes, the awarding of the prizes, and whether or not such prizes are finally or actually delivered.
- Intellectual Property.
- To the extent you provide any suggestions, comments or feedback “Feedback”) to us about our products or content provided during the Hackathon, you hereby grant us an irrevocable, royalty-free, worldwide, transferable, sublicensable, perpetual license to use, reproduce, modify and otherwise exploit the Feedback for any purpose.
- You hereby grant the Organizer a worldwide, royalty-free, non-exclusive, irrevocable, perpetual and fully sublicensable license to use, create derivative works of, perform and display the Project at the Hackathon, at other events related to the Hackathon and for marketing purposes. Further, you represent and warrant that the Project is your own original work and does not violate any agreement or rights of a third party (including intellectual property rights, confidentiality, non-competition or similar). You agree to defend us against any third-party claims alleging that the Project violates a third party’s intellectual property rights and indemnify us for all costs and expenses we incur in connection with the claim.
- Warranties.
- You represent and warrant that (a) you have read and fully understand these Terms; (b) you are over eighteen years of age or if you are under eighteen years of age, you have received consent form your parent or guardian to participate in the Hackathon; (c) you have the full right to enter into these Terms and you are authorized to grant the rights set forth herein; and (d) you will conduct yourself in an appropriate, lawful manner at all times during the Hackathon and you will comply with the rules of competition and safety for the Hackathon and the rules and regulations of all governing bodies or other entities who operate or have jurisdiction over the Hackathon, as well as the instructions of any Hackathon organizers or Organizer personnel. You affirm that you did not give, or agree to give, anything of value to any Organizer employee, or anyone associated in any manner with Organizer, for arranging the rights granted by you to the Organizer.
- Waivers.
- Any failure by us to exercise or enforce any right or provision of the Hackathon Terms shall not constitute a waiver of such right or provision. In the event that any provision of the Terms is determined to be invalid or unenforceable, the remainder of the Event Terms will nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion will be deemed to be severed from the Terms.
- Governing Law.
- These Terms will be governed by and construed in accordance with the laws of the Cayman Islands, without regard to or application of conflicts of law rules or principles. Any dispute, controversy, difference or claim arising out of or relating to the Terms, the Hackathon or the related activities, content, materials, shall be referred to and finally resolved by binding arbitration to be administered by the Cayman Islands International Arbitration Centre (CIAC) and governed by the Arbitration Act (as amended) of the Cayman Islands. The arbitration shall be conducted in the English language and the place of arbitration shall be in the Cayman Islands. The number of arbitrators shall be one. The place of arbitration will be George Town, Cayman Islands. The decision of the sole arbitrator to any such dispute, controversy, difference or claim shall be final and binding upon both parties. If any litigation or arbitration is necessary to enforce these Terms, the prevailing party will be entitled to have their attorney fees paid by the other party. Each party waives any right it may have to assert the doctrine of forum non conveniens, to assert that it is not subject to the jurisdiction of such arbitration or courts or to object to venue to the extent any proceeding is brought in accordance herewith.
- Indemnity.
- You knowingly agree to hold harmless, defend, and indemnify each of the Organizer Representatives (as defined below) from any loss, liability, claim, damage, judgment, legal fees or costs incurred by any Organizer Representative in connection with, arising out of or related directly or indirectly to your participation in the Hackathon, whether arising from our acts, omissions or negligence or any other third party, but only to the fullest extent permitted by law (“Losses”). Such Losses include, but are not limited to, monetary damages, fines, violation of privacy rights, business interruption expenses, remediation costs, emotional distress/pain and suffering, medical monitoring, property damage, death, or bodily injury. This indemnity expressly covers any Losses in connection with, arising out of, or related directly or indirectly to the Organizer and/or the Hackathon.
- Release Of Liability.
- YOU HEREBY IRREVOCABLY, UNCONDITIONALLY AND ENTIRELY WAIVE, RELEASE, HOLD HARMLESS AND FOREVER DISCHARGE THE ORGANIZERS, ITS AFFILIATES AND SPONSORS AND THEIR RESPECTIVE EMPLOYEES, CONTRACTORS, OFFICERS, DIRECTORS, AGENTS, SPONSORS, PARTNERS, AFFILIATES, LICENSEES, SUCCESSORS AND ASSIGNS (COLLECTIVELY, “ORGANIZER REPRESENTATIVES”) FROM ANY AND ALL LIABILITIES, CLAIMS AND DEMANDS OF ANY KIND OR NATURE, IN LAW OR EQUITY, WHETHER KNOWN OR UNKNOWN, WHICH YOU EVER HAD, NOW HAVE, OR IN THE FUTURE MAY HAVE AGAINST THE ORGANIZER REPRESENTATIVES WITH RESPECT TO: (A) ANY PERSONAL INJURY, DEATH, PROPERTY DAMAGE OR OTHER DAMAGE ARISING OUT OF OR RELATED TO YOUR PARTICIPATION IN THE HACKATHON OR ANY OTHER ACTIVITY IN CONNECTION WITH THESE TERMS; (B) USE OR AWARDING OF THE PRIZES; AND (C) THE APPEARANCES OR CONTENT, INCLUDING WITHOUT LIMITATION, CLAIMS INVOLVING RIGHT OF PRIVACY, RIGHT OF PUBLICITY, DEFAMATION OR COPYRIGHT INFRINGEMENT. YOU UNDERSTAND THAT YOU MAY NOT SEEK ANY EQUITABLE RELIEF AGAINST THE ORGANIZER REPRESENTATIVES (SUCH AS OBTAINING AN INJUNCTION TO STOP THE USE OR DISTRIBUTION OF ANY MATERIAL CONTAINING YOUR LIKENESS) OR SEEK ANY TERMINATION OR RESCISSION OF THESE TERMS. THESE TERMS ARE BINDING UPON YOUR HEIRS, LEGAL REPRESENTATIVES, SUCCESSORS AND ASSIGNS.
